1. ACCEPTANCE OF THESE TERMS
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and CareHarbor360 ("CareHarbor360," "Company," "we," "our," or "us") governing your access to and use of our website, mobile applications, software, APIs, and related services (collectively, the "Services").
By accessing, registering for, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and all policies incorporated by reference.
If you do not agree to these Terms, you must not access or use the Services.
2. ABOUT CAREHARBOR360
CareHarbor360 is a technology marketplace designed to facilitate connections between families, caregivers, childcare providers, elder caregivers, companions, domestic support professionals, agencies, and employers.
CareHarbor360 provides technology tools that assist users in discovering, communicating with, evaluating, and engaging one another.
Unless expressly stated otherwise, CareHarbor360:
is not an employer of caregivers;
is not an employment agency;
is not a staffing agency;
is not a healthcare provider;
does not provide medical treatment or medical advice;
does not supervise caregiving relationships after users engage one another.
The ultimate decision to hire, retain, supervise, compensate, or discontinue a caregiver remains solely with the applicable users.
3. ELIGIBILITY
To use the Services, you represent and warrant that you:
are legally capable of entering into a binding contract under applicable law;
have provided accurate registration information;
will maintain accurate account information;
will comply with these Terms and applicable laws;
will not use the Services for unlawful purposes.
If you create an account on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.
4. NATURE OF THE PLATFORM
CareHarbor360 operates solely as a technology platform facilitating introductions and interactions between users.
Except where expressly stated:
CareHarbor360 does not employ caregivers.
CareHarbor360 does not guarantee employment.
CareHarbor360 does not guarantee job placements.
CareHarbor360 does not guarantee caregiver availability.
CareHarbor360 does not guarantee user suitability.
CareHarbor360 does not guarantee successful matches.
CareHarbor360 does not guarantee the quality of services provided by users.
Users remain solely responsible for evaluating whether another user is appropriate for their individual circumstances.
5. USER ACCOUNTS
Users must create an account to access certain Services.
Users agree to:
provide truthful and accurate information;
maintain current information;
keep login credentials confidential;
promptly notify CareHarbor360 of unauthorized account access;
accept responsibility for activity occurring under their account.
CareHarbor360 reserves the right to suspend, restrict, or terminate accounts that violate these Terms or present security, fraud, or safety concerns.
6. ACCOUNT SECURITY
Users are responsible for maintaining the confidentiality of their passwords and authentication credentials.
Users shall not:
share accounts;
lend accounts to others;
permit unauthorized use of their accounts;
attempt to access another user's account.
CareHarbor360 may implement additional authentication measures where appropriate to protect platform security.
7. IDENTITY VERIFICATION
CareHarbor360 may offer or require identity verification for certain Services.
Users agree that:
submitted identification documents must be authentic;
identity information must belong to the registering user;
fraudulent verification attempts may result in permanent account suspension.
Identity verification improves trust but does not constitute a guarantee of honesty, competence, safety, or future conduct.
8. MARKETPLACE RELATIONSHIP
Users acknowledge that:
hiring decisions remain solely between users;
employment relationships, where created, are formed directly between users and are not created with CareHarbor360;
CareHarbor360 is not responsible for wages, taxes, benefits, employment contracts, supervision, scheduling, or labor law compliance between users.
Users remain responsible for obtaining legal, tax, or employment advice where appropriate.
9. USER RESPONSIBILITIES
All users agree to:
act honestly;
comply with applicable laws;
respect other users;
maintain accurate information;
use the platform in good faith;
refrain from fraudulent conduct;
promptly report safety concerns.
Users remain responsible for their own decisions regarding interactions arranged through the platform.
10. CAREGIVER RESPONSIBILITIES
Caregivers represent and warrant that information submitted to CareHarbor360 is accurate.
Caregivers agree to:
accurately represent qualifications;
accurately disclose certifications;
maintain required licenses where applicable;
communicate honestly with families;
comply with applicable laws;
maintain professionalism;
avoid misleading statements;
avoid discriminatory conduct prohibited by law;
refrain from impersonation.
Caregivers remain solely responsible for services they provide.
11. FAMILY RESPONSIBILITIES
Families agree to:
provide accurate job descriptions;
communicate honestly;
treat caregivers respectfully;
comply with applicable laws;
avoid discriminatory hiring practices prohibited by law;
avoid requesting unlawful services;
maintain a reasonably safe environment for caregivers.
Families remain solely responsible for supervising caregivers engaged through the platform.
12. NO MEDICAL SERVICES
CareHarbor360 is not a medical provider.
The Services do not constitute:
medical advice;
nursing advice;
diagnosis;
treatment;
emergency response;
healthcare services.
Users requiring medical care should consult qualified healthcare professionals or emergency services.
13. NO EMPLOYMENT GUARANTEE
Use of CareHarbor360 does not guarantee:
employment;
interviews;
caregiver availability;
hiring;
income;
continued work;
client acquisition;
business success.
Platform use is provided on an opportunity basis only.
PART 2
14. PROHIBITED CONDUCT
To maintain a safe, lawful, and trustworthy marketplace, users shall not engage in conduct that violates these Terms, applicable law, or the rights of others.
The following activities are prohibited, whether attempted or completed.
14.1 False Identity
Users shall not:
Create accounts using another person's identity.
Impersonate any individual or organization.
Use fictitious identities to deceive others.
Create fake caregiver profiles.
Create fake family profiles.
Submit altered identification documents.
Submit forged certifications.
Submit forged employment records.
Use stolen photographs.
Use AI-generated profile photographs to misrepresent identity.
Operate accounts on behalf of another person without authorization.
14.2 Fraudulent Conduct
Users shall not:
Commit fraud.
Attempt fraud.
Obtain money through deception.
Misrepresent qualifications.
Misrepresent work history.
Misrepresent licensing.
Misrepresent certifications.
Misrepresent identity verification status.
Misrepresent payment information.
Submit false references.
Fabricate reviews.
Manipulate ratings.
14.3 Platform Abuse
Users shall not:
Circumvent platform restrictions.
Create multiple accounts to evade enforcement.
Attempt to bypass suspensions.
Use bots without authorization.
Automate account creation.
Interfere with platform functionality.
Reverse engineer the platform.
Probe security vulnerabilities.
Introduce malware.
Upload viruses.
Perform denial-of-service attacks.
Attempt unauthorized access.
14.4 Harassment
Users shall not engage in:
Harassment.
Threats.
Intimidation.
Bullying.
Hate speech.
Discriminatory abuse.
Stalking.
Sexual harassment.
Extortion.
Blackmail.
Doxxing.
Repeated unwanted contact.
CareHarbor360 reserves the right to immediately suspend accounts engaging in abusive behavior.
14.5 Illegal Activities
Users shall not use the Services to facilitate:
Human trafficking.
Child exploitation.
Elder abuse.
Forced labor.
Financial fraud.
Identity theft.
Money laundering.
Terrorist financing.
Drug trafficking.
Illegal gambling.
Distribution of illegal materials.
Criminal conspiracies.
Any suspected criminal activity may be referred to appropriate authorities where legally required or appropriate.
14.6 Misuse of Children
Users shall not:
Request unlawful childcare.
Seek services that violate child protection laws.
Upload exploitative material.
Attempt to recruit minors.
Share identifying information about unrelated children without authorization.
Use the platform in any manner that could endanger children.
Child safety is a priority of CareHarbor360. Accounts posing an immediate risk may be suspended without prior notice.
14.7 Misuse of Elder Care
Users shall not use the platform to facilitate:
Financial exploitation.
Abuse.
Neglect.
Exploitation of vulnerable adults.
Unauthorized access to financial assets.
Coercive caregiving arrangements.
14.8 Payment Abuse
Users shall not:
Use stolen payment methods.
Initiate fraudulent chargebacks.
Manipulate subscriptions.
Attempt payment fraud.
Circumvent platform fees.
Engage in money laundering.
Use another person's financial information without authorization.
14.9 Privacy Violations
Users shall not:
Publish another person's private information.
Share government identification numbers.
Share passwords.
Share financial credentials.
Upload confidential third-party documents without authorization.
Record conversations where prohibited by law.
Misuse personal information obtained through the platform.
14.10 Intellectual Property Violations
Users shall not:
Upload copyrighted material without authorization.
Infringe trademarks.
Misappropriate trade secrets.
Copy proprietary platform materials.
Misuse CareHarbor360 branding.
15. TRUST & SAFETY
CareHarbor360 maintains Trust & Safety processes intended to promote responsible use of the platform.
Trust & Safety measures may include:
Identity verification
Fraud detection
Abuse reporting
Risk scoring
Content moderation
Manual review
Automated monitoring
Security investigations
User reporting systems
Platform audits
These measures are intended to reduce risk but do not guarantee the conduct or suitability of any user.
16. USER REPORTING
Users are encouraged to promptly report:
Fraud
Fake profiles
Identity theft
Harassment
Abuse
Threats
Child safety concerns
Elder abuse concerns
Payment fraud
Platform vulnerabilities
Terms violations
Reports should be made in good faith.
Knowingly false reports may themselves constitute a violation of these Terms.
17. PLATFORM INVESTIGATIONS
CareHarbor360 may investigate suspected violations of these Terms.
Investigations may include:
Reviewing account information
Reviewing communications conducted through the platform
Reviewing uploaded documents
Reviewing payment records
Reviewing login history
Reviewing verification records
Contacting involved users
Requesting additional information
Consulting third-party service providers
Preserving relevant records
Failure to cooperate with reasonable investigations may result in suspension or termination.
18. ENFORCEMENT ACTIONS
If CareHarbor360 reasonably believes a violation has occurred, we may take one or more actions, including:
Issue a warning
Require identity verification
Remove content
Remove reviews
Restrict account features
Suspend messaging
Suspend profile visibility
Suspend payments
Temporarily suspend the account
Permanently terminate the account
Report unlawful conduct to competent authorities
Preserve evidence
Cooperate with law enforcement where legally required
CareHarbor360 reserves discretion in selecting appropriate enforcement measures based on the nature and severity of the conduct.
19. EMERGENCY ACCOUNT SUSPENSION
CareHarbor360 may immediately suspend or restrict access to the Services without prior notice where reasonably necessary to:
Protect children
Protect vulnerable adults
Prevent fraud
Protect users
Protect platform security
Respond to legal obligations
Prevent ongoing abuse
Prevent unauthorized access
Address credible safety concerns
Where appropriate, users may be given an opportunity to provide additional information before a final decision is made.
20. USER COOPERATION
Users agree to cooperate with reasonable requests from CareHarbor360 relating to:
Identity verification
Fraud investigations
Security incidents
Trust & Safety reviews
Compliance with applicable law
Resolution of platform disputes
Failure to provide requested information may affect continued access to the Services.
21. NO GUARANTEE OF USER CONDUCT
CareHarbor360 does not guarantee that any user will:
Act honestly
Perform services competently
Fulfill contractual obligations
Appear for scheduled work
Provide accurate information
Maintain certifications
Comply with applicable laws
Users are responsible for exercising their own judgment before entering into any caregiving arrangement.
Chapter 3
PAYMENT TERMS, SUBSCRIPTIONS & BILLING
Enterprise Edition
22. PAYMENT TERMS
This Chapter governs all fees, subscriptions, payments, billing, refunds, credits, promotional offers, and other financial transactions conducted through the CareHarbor360 platform.
By purchasing or using paid Services, you agree to be bound by this Chapter in addition to the remainder of these Terms.
23. PAID SERVICES
Certain features of the Services may require payment.
Paid Services may include, without limitation:
Premium caregiver memberships
Family premium memberships
Featured caregiver profiles
Featured job listings
Verification services
Identity verification services
AI-powered premium tools
Resume enhancement services
Background verification services (where offered)
Advertising services
Subscription packages
Enterprise plans
Agency plans
Additional marketplace services introduced in the future
Availability of Paid Services may vary by region and may change over time.
24. PRICING
All pricing is displayed in the currency identified at the time of purchase.
Unless otherwise stated:
Prices are exclusive of applicable taxes.
Taxes will be added where required by law.
Pricing may vary by subscription level, geographic region, promotional offers, or feature availability.
CareHarbor360 reserves the right to modify pricing for future purchases, subject to applicable law and advance notice where required.
25. SUBSCRIPTIONS
Certain Services are offered on a recurring subscription basis.
Subscription periods may include:
Weekly
Monthly
Quarterly
Semi-Annual
Annual
Multi-Year
Subscription features may differ depending upon the selected plan.
26. AUTO-RENEWAL
Unless cancelled before the end of the applicable subscription period, subscriptions automatically renew for successive periods of the same duration.
By purchasing a subscription, you authorize CareHarbor360 or its payment processor to charge the applicable payment method for each renewal until cancelled.
Users are responsible for maintaining valid payment information.
27. BILLING AUTHORIZATION
By providing a payment method, you represent that:
you are authorized to use the payment method;
billing information is accurate;
sufficient funds or credit are available; and
CareHarbor360 may charge the payment method for authorized purchases.
Failure to maintain valid payment information may result in interruption or suspension of paid Services.
28. PAYMENT PROCESSORS
Payments may be processed by independent third-party payment service providers.
CareHarbor360 does not directly control payment processing systems operated by such providers.
Users may also be subject to the applicable terms and privacy policies of those payment providers.
29. TAXES
Users are responsible for taxes applicable to their purchases unless otherwise required by law.
Where required, CareHarbor360 may collect:
Goods and Services Tax (GST)
Other indirect taxes
Legally required governmental fees
Invoices may reflect applicable taxes separately.
30. FAILED PAYMENTS
If payment cannot be successfully processed, CareHarbor360 may:
retry the transaction;
notify the user;
temporarily suspend premium features;
restrict account functionality;
terminate subscriptions for non-payment;
require an alternate payment method before restoring access.
Repeated payment failures may result in account restrictions.
31. DELINQUENT ACCOUNTS
Accounts with outstanding balances may be restricted until payment obligations have been satisfied.
CareHarbor360 reserves the right to suspend access to paid features during periods of delinquency.
Nothing in these Terms prevents CareHarbor360 from pursuing lawful recovery of unpaid amounts.
32. REFUND POLICY
Unless otherwise required by applicable law or expressly stated at the time of purchase:
Subscription fees are generally non-refundable after the applicable subscription period has commenced.
Partial use of a subscription does not entitle a user to a partial refund.
Failure to use purchased features does not create an entitlement to a refund.
Promotional purchases may be subject to additional restrictions disclosed at the time of purchase.
Where a refund is approved, it will generally be returned through the original payment method where reasonably practicable.
33. CANCELLATION OF SUBSCRIPTIONS
Users may cancel recurring subscriptions at any time through their account settings or other methods provided by CareHarbor360.
Cancellation prevents future renewal charges but does not retroactively cancel charges already incurred.
Unless otherwise required by law, access to paid features continues until the end of the current billing period.
34. PRICE CHANGES
CareHarbor360 may revise subscription pricing from time to time.
Price changes generally apply prospectively and will not affect amounts already charged for the current billing period.
Where required by applicable law, advance notice will be provided before revised pricing takes effect.
Users who do not agree with revised pricing may cancel their subscriptions before the renewal date.
35. PROMOTIONAL OFFERS
CareHarbor360 may offer:
free trials;
introductory pricing;
promotional discounts;
referral incentives;
coupons;
limited-time offers.
Promotional offers:
may have separate eligibility criteria;
may not be combined unless expressly permitted;
may be modified or discontinued at any time for future purchases;
may be withdrawn where fraud or abuse is suspected.
36. FREE TRIALS
Where offered, free trials provide temporary access to certain paid features.
Unless otherwise disclosed, free trials:
are limited to one per eligible user;
may require a valid payment method;
automatically convert to a paid subscription if not cancelled before the trial period ends.
Eligibility for free trials is determined by CareHarbor360 in its sole discretion.
37. REFERRAL PROGRAMS
Referral incentives, if offered, are governed by separate program terms.
CareHarbor360 may:
modify referral programs;
suspend referral rewards;
reject fraudulent referrals;
recover improperly issued rewards.
38. CHARGEBACKS
Users agree to contact CareHarbor360 to attempt resolution of billing disputes before initiating a chargeback where reasonably practicable.
Fraudulent or abusive chargebacks may result in:
suspension of premium services;
termination of accounts;
recovery of unpaid amounts through lawful means.
Nothing in this section limits a user's rights under applicable consumer protection laws.
39. BILLING ERRORS
Users should promptly notify CareHarbor360 of suspected billing errors.
CareHarbor360 will make reasonable efforts to investigate and, where appropriate, correct confirmed billing errors.
40. CREDITS
From time to time, CareHarbor360 may issue promotional or service credits.
Unless expressly stated otherwise:
credits have no cash value;
credits are non-transferable;
credits are not redeemable for cash;
credits may expire.
41. SUSPENSION FOR NON-PAYMENT
CareHarbor360 may suspend access to paid Services if payment obligations remain outstanding.
During suspension:
premium features may be disabled;
profile visibility may be reduced;
AI features may be unavailable;
advertising placements may be removed.
Restoration of Services may require payment of outstanding balances.
42. NO FINANCIAL ADVICE
Payment-related information provided through the Services is for administrative purposes only and does not constitute financial, accounting, legal, or tax advice.
Users remain responsible for obtaining professional advice regarding their own financial or tax obligations.
43. MODIFICATION OF PAID SERVICES
CareHarbor360 may add, modify, replace, or discontinue paid features.
Where reasonably practicable, material changes affecting active subscriptions will be communicated in advance.
44. SURVIVAL
Sections relating to unpaid fees, payment disputes, refunds, chargebacks, taxes, indemnification, limitations of liability, and dispute resolution shall survive termination of these Terms to the extent permitted by applicable law.
End of Chapter 3
Review and one important recommendation
This chapter is intentionally written without promising practices you may not actually implement. For example, it does not promise:
fixed refund timelines,
guaranteed billing notices,
specific payment processors,
escrow arrangements,
or any certification.
As your platform grows, you can add those operational commitments once they're actually in place.
Chapter 4
MARKETPLACE RELATIONSHIP, USER RESPONSIBILITIES & LIABILITY ALLOCATION
45. NATURE OF THE PLATFORM
CareHarbor360 is an online technology platform that enables registered users to create profiles, search for caregiving opportunities or caregivers, communicate with one another, and enter into independent caregiving arrangements.
CareHarbor360 provides software and related technology services. Except where expressly stated, CareHarbor360 is not a party to agreements entered into directly between users.
46. NO EMPLOYMENT RELATIONSHIP
Unless expressly agreed in writing for a specific service, CareHarbor360 does not employ caregivers listed on the platform.
Use of the Services does not create an employment relationship between CareHarbor360 and:
caregivers;
families;
agencies;
employers; or
other users.
Nothing in these Terms should be interpreted as creating an employer-employee relationship between CareHarbor360 and platform users.
47. NO STAFFING OR RECRUITMENT AGENCY
CareHarbor360 provides a marketplace that facilitates introductions and communication between users.
Except where expressly stated for a specific offering, CareHarbor360 does not undertake recruitment, placement, staffing, or employment agency services on behalf of users.
Users remain responsible for evaluating whether another user is suitable for their individual needs.
48. USER-TO-USER AGREEMENTS
Any agreement relating to caregiving services, including discussions regarding duties, schedules, compensation, duration of engagement, confidentiality, or termination, is entered into directly between the relevant users.
CareHarbor360 is not a contracting party to those arrangements unless expressly identified in a separate written agreement.
49. HIRING DECISIONS
Families, employers, and agencies are solely responsible for deciding whether to engage a caregiver.
CareHarbor360 does not direct or control hiring decisions and does not recommend that any particular caregiver be hired solely because that caregiver appears on the platform.
50. CAREGIVER DECISIONS
Caregivers independently determine whether to:
apply for positions;
communicate with prospective clients;
accept or decline engagements; and
continue or discontinue services, subject to applicable agreements and law.
Nothing in these Terms requires a caregiver to accept any particular opportunity.
51. USER DUE DILIGENCE
Users are responsible for conducting appropriate due diligence before entering into a caregiving arrangement.
Depending on the circumstances, this may include verifying information, interviewing candidates, checking references, confirming qualifications, and ensuring that the arrangement complies with applicable law.
CareHarbor360 encourages users to make informed decisions based on their own assessment of the available information.
52. IDENTITY VERIFICATION
Where CareHarbor360 offers identity verification, it is intended to help confirm certain aspects of a user's identity.
Identity verification:
is limited to the scope of the verification process used;
does not certify a user's character, honesty, competence, or future conduct;
does not guarantee that information supplied by third parties is complete or current.
Users should not rely solely on verification status when making hiring or engagement decisions.
53. BACKGROUND CHECKS
CareHarbor360 does not perform, offer, or broker background checks of any kind, for any user. The only automated verification CareHarbor360 performs is identity verification, which confirms identity only and does not establish criminal history, employment history, qualifications, or suitability.
Users remain fully responsible for conducting their own screening, including interviews, reference checks, and any background check they consider appropriate, before engaging any other user.
54. USER-GENERATED INFORMATION
Profiles, biographies, resumes, certifications, references, reviews, ratings, photographs, and other user-submitted content are generally provided by the users who submit them.
CareHarbor360 may moderate content for compliance with platform rules, but does not guarantee the completeness, accuracy, or reliability of user-submitted information.
Users are responsible for information they submit.
55. REVIEWS AND RATINGS
Reviews and ratings reflect the opinions and experiences of individual users.
While CareHarbor360 may investigate reports of fraudulent or abusive reviews, it does not endorse every opinion expressed by users.
CareHarbor360 reserves the right to remove reviews that violate these Terms or applicable law.
56. USER COMMUNICATIONS
CareHarbor360 may provide messaging or communication tools to facilitate interactions between users.
Unless expressly stated, CareHarbor360 does not routinely monitor every communication exchanged through the platform.
Users remain responsible for the content of their communications and should exercise caution when sharing personal information.
57. OFF-PLATFORM ARRANGEMENTS
Users may decide to continue their relationship outside the platform.
Once users choose to interact outside CareHarbor360's systems, the platform may have limited ability to assist with disputes, communications, or investigations relating to those interactions.
58. PAYMENT ARRANGEMENTS
Where payments are not processed through CareHarbor360, users are solely responsible for negotiating and fulfilling payment obligations between themselves.
CareHarbor360 is not responsible for payment disputes arising from arrangements conducted outside the platform.
59. WORKPLACE AND HOUSEHOLD SAFETY
Families and employers are responsible for maintaining a reasonably safe environment for caregivers in accordance with applicable law.
Caregivers are responsible for conducting themselves in a professional and lawful manner while providing services.
Users should promptly report significant safety concerns encountered through the platform.
60. COMPLIANCE WITH APPLICABLE LAW
Users are responsible for complying with all laws applicable to their activities, including laws relating to employment, taxation, contracts, anti-discrimination, child protection, elder protection, consumer protection, and privacy.
CareHarbor360 does not provide legal, tax, or employment advice through the platform.
61. USER RESPONSIBILITY FOR DECISIONS
Users retain sole responsibility for decisions they make using information available through the Services, including decisions relating to:
hiring;
accepting engagements;
compensation;
scheduling;
supervision;
termination of services; and
contractual arrangements with other users.
62. PLATFORM ROLE DURING DISPUTES
CareHarbor360 may, but is not obligated to, assist users in resolving disputes by facilitating communication, reviewing available platform records, or enforcing its own Terms.
CareHarbor360 generally does not adjudicate contractual disputes between users or determine legal liability between them.
63. THIRD-PARTY SERVICES
The Services may integrate with or reference third-party products or services, such as payment processors, identity verification providers, mapping services, communication tools, or analytics providers.

65. RISK ALLOCATION
By using the Services, users acknowledge that entering into caregiving arrangements involves independent decisions and inherent uncertainties.
To the fullest extent permitted by applicable law:
each user is responsible for their own acts and omissions;
users are responsible for complying with their agreements with one another; and
CareHarbor360's responsibility is limited to providing the technology services described in these Terms.
Nothing in this section excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
Chapter 5
DISCLAIMERS OF WARRANTIES
66. SERVICES PROVIDED "AS AVAILABLE"
The Services are provided on an "as available" basis.
CareHarbor360 endeavors to provide reliable and high-quality Services but does not represent or warrant that the Services will always be:
continuously available;
uninterrupted;
error-free;
free from delays;
compatible with every device or browser; or
free from maintenance periods.
Scheduled or unscheduled interruptions may occur due to maintenance, technical issues, security events, third-party service disruptions, or circumstances beyond CareHarbor360's reasonable control.

While CareHarbor360 seeks to maintain dependable platform availability, we do not warrant that access will be available at all times.
Temporary interruptions may result from:

fulfill contractual obligations;
maintain professional qualifications; or
behave appropriately.
Users should independently evaluate other users before entering into any arrangement.
69. NO WARRANTY OF PROFILE INFORMATION
User profiles, resumes, biographies, certifications, photographs, references, and similar content are generally submitted by users.
Although CareHarbor360 may moderate content for compliance with platform rules, we do not warrant that all user-submitted information is complete, accurate, current, or free from error.
70. NO WARRANTY OF MATCHING RESULTS
CareHarbor360 may provide search tools, filters, recommendations, or matching functionality intended to help users discover relevant opportunities or caregivers.
These tools are designed to assist users but do not guarantee:

compatibility between users; or

Users remain responsible for their own selection decisions.

Identity verification does not constitute a guarantee regarding:

CareHarbor360 does not perform, offer, or broker background checks. No warranty is made or implied regarding any user's background, criminal history, conduct, or suitability, because no such check is performed by CareHarbor360.

Reviews and ratings reflect the opinions of individual users.
CareHarbor360 does not warrant that reviews or ratings:

are accurate;
represent every user experience; or

74. NO WARRANTY REGARDING THIRD-PARTY SERVICES

Unless expressly stated otherwise, CareHarbor360 does not provide caregiving services, employ caregivers on behalf of clients, supervise the day-to-day performance of caregiving services, or guarantee the conduct, qualifications, availability, or performance of any user.
Users remain responsible for exercising independent judgment when selecting, engaging, supervising, or working with other users.
85. USER DECISIONS
Users acknowledge that decisions relating to:
selecting caregivers or clients;
accepting or declining engagements;
caregiving instructions;
supervision of care recipients;
employment or contracting arrangements;
compensation; and
emergency decision-making
are made independently by users and not by CareHarbor360.
Except as required by applicable law, CareHarbor360 is not responsible for the outcomes of those decisions.
86. USER CONDUCT
CareHarbor360 is not responsible for the acts, omissions, negligence, misconduct, statements, or unlawful conduct of users, including caregivers, clients, agencies, or other third parties.
While CareHarbor360 may provide identity verification, reporting tools, Trust & Safety processes, ratings, reviews, or other features intended to promote a safer marketplace, these measures do not eliminate all risks associated with interactions between users.
87. CAREGIVING SERVICES
CareHarbor360 does not guarantee:
the quality of caregiving services;
successful caregiver-client matches;
uninterrupted caregiving arrangements;
user compatibility;
caregiver availability;
client suitability;
medical or therapeutic outcomes; or
satisfaction with any caregiving engagement.
Users remain responsible for determining whether a caregiving arrangement is appropriate for their individual circumstances.
88. THIRD-PARTY SERVICES
The platform may integrate or rely upon third-party services, including payment processors, identity verification providers, communication services, mapping providers, cloud hosting providers, artificial intelligence providers, analytics services, or other technology vendors.
Except as required by applicable law, CareHarbor360 is not responsible for the availability, performance, security, or actions of independent third-party providers.
89. ARTIFICIAL INTELLIGENCE
AI-powered features are intended to assist users by providing recommendations, summaries, translations, scheduling assistance, message drafting, and other productivity tools.
AI-generated content may contain inaccuracies, omissions, or outdated information.
Users remain responsible for reviewing AI-generated content and making independent decisions based upon their own judgment.
CareHarbor360 does not guarantee the accuracy, completeness, or suitability of AI-generated outputs.
90. INDIRECT DAMAGES
To the fullest extent permitted by applicable law, CareHarbor360 shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to the use of the platform, including but not limited to:
loss of profits;
loss of revenue;
business interruption;
reputational harm;
loss of opportunity;
loss of goodwill; or
loss of data,
except where such limitations are prohibited by applicable law.
91. MAXIMUM LIABILITY
To the fullest extent permitted by applicable law, CareHarbor360's aggregate liability arising out of or relating to these Terms or the use of the platform shall not exceed the greater of:
the total platform fees actually paid by the user to CareHarbor360 during the twelve (12) months immediately preceding the event giving rise to the claim; or
the minimum amount required by applicable law, if greater.
This limitation does not apply where applicable law prohibits such limitations.
92. EXCEPTIONS
Nothing in these Terms excludes or limits liability for:
fraud or fraudulent misrepresentation;
willful misconduct where liability cannot lawfully be excluded;
gross negligence where applicable law prohibits limitation;
death or personal injury resulting from negligence where limitation is prohibited by law; or
any other liability that cannot lawfully be excluded or limited.
93. USER RESPONSIBILITY
Users acknowledge that online marketplaces involve inherent risks.
Each user agrees to:
exercise reasonable care and independent judgment;
verify information that is material to their decisions;
communicate openly regarding caregiving arrangements;
comply with applicable laws; and
promptly report safety concerns through CareHarbor360's Trust & Safety processes.
94. SURVIVAL
This Chapter survives the suspension or termination of a user's account and continues to apply to claims arising from events that occurred during use of the CareHarbor360 platform, to the extent permitted by applicable law.
Chapter 7
INDEMNIFICATION
95. USER INDEMNIFICATION
To the fullest extent permitted by applicable law, you agree to defend (where applicable), indemnify, and hold harmless CareHarbor360, its parent entities, affiliates, directors, officers, employees, contractors, representatives, licensors, successors, and assigns (collectively, the "CareHarbor360 Parties") from and against claims, demands, actions, proceedings, liabilities, judgments, settlements, losses, damages, costs, and reasonable legal expenses arising out of or relating to:
your use of the Services;
your violation of these Terms;
your violation of applicable law;
your negligent or wrongful acts or omissions;
your breach of agreements with other users;
your infringement of another person's intellectual property rights;
your misuse of personal information obtained through the platform; or
your fraudulent, deceptive, or unlawful conduct.
This obligation applies only to the extent the claim arises from your own acts or omissions.
96. THIRD-PARTY CLAIMS
Without limiting Section 95, you agree to indemnify the CareHarbor360 Parties against third-party claims arising from:
inaccurate profile information you submitted;
false certifications or qualifications;
impersonation;
identity fraud;
unlawful discrimination;
harassment;
defamation;
copyright infringement;
trademark infringement;
invasion of privacy;
unauthorized disclosure of confidential information;
child safety violations;
elder abuse allegations arising from your conduct;
employment disputes arising from your direct relationship with another user; and
tax or wage disputes arising from your direct agreements with another user.
97. USER CONTENT
You represent that you have the legal right to upload, publish, or transmit any content you submit through the Services.
You agree to indemnify the CareHarbor360 Parties against claims alleging that your content infringes the rights of another person or otherwise violates applicable law.
98. USER-TO-USER DISPUTES
Users are solely responsible for disputes arising from agreements entered into directly with one another.
To the fullest extent permitted by applicable law, you agree to indemnify the CareHarbor360 Parties against claims brought by another user that arise primarily from your own conduct, representations, contractual obligations, or breach of agreements between users.
Nothing in this section prevents CareHarbor360 from cooperating with lawful investigations or complying with court orders.
99. EMPLOYMENT AND TAX MATTERS
If a user enters into an employment, contractor, or other working relationship with another user, the parties to that relationship are responsible for complying with applicable employment, labor, tax, and social security laws.
You agree to indemnify the CareHarbor360 Parties against claims arising from your failure to comply with such obligations, to the extent those claims are based on your conduct rather than that of CareHarbor360.
100. INTELLECTUAL PROPERTY CLAIMS
You agree not to upload, distribute, or make available material that infringes the intellectual property rights of another person.
If your conduct results in a claim alleging infringement of copyright, trademark, patent, trade secret, or other intellectual property rights, you agree to indemnify the CareHarbor360 Parties to the extent permitted by applicable law.
101. MISUSE OF PERSONAL INFORMATION
If you obtain personal information through the Services, you agree to use it only for lawful purposes related to legitimate caregiving arrangements.
You agree to indemnify the CareHarbor360 Parties against claims arising from your unauthorized collection, disclosure, sale, misuse, or unlawful processing of another user's personal information.
102. INVESTIGATIONS AND COOPERATION
If CareHarbor360 reasonably believes that an indemnifiable claim may arise, it may request information or cooperation from the user whose conduct is at issue.
Users agree to provide reasonable cooperation, including relevant documents or information, to the extent permitted by applicable law.
Failure to cooperate may be considered when determining continued access to the Services.
103. DEFENSE OF CLAIMS
Where an indemnification obligation applies, CareHarbor360 may:
assume control of the defense of the claim;
participate in the defense;
select legal counsel;
negotiate settlement discussions; or
require reasonable cooperation from the user.
Nothing in this section obligates CareHarbor360 to assume the defense of every claim.
104. SETTLEMENTS
A user subject to an indemnification obligation shall not settle any claim in a manner that imposes obligations, admissions of liability, or restrictions upon the CareHarbor360 Parties without CareHarbor360's prior written consent, such consent not to be unreasonably withheld where applicable.
105. NO LIMITATION OF OTHER RIGHTS
The indemnification obligations in this Chapter are in addition to, and do not limit, any other rights or remedies that CareHarbor360 may have under these Terms, applicable law, or equity.
106. SURVIVAL
The indemnification obligations contained in this Chapter survive suspension, termination, expiration, or closure of a user's account with respect to claims arising from events occurring during the user's use of the Services.
Chapter 8
INTELLECTUAL PROPERTY RIGHTS
107. OWNERSHIP OF THE PLATFORM
The Services, including the CareHarbor360 website, mobile applications, software, databases, source code, object code, APIs, user interfaces, page layouts, workflows, algorithms (to the extent protectable), compilations, documentation, graphics, icons, text, photographs owned by CareHarbor360, videos, audio, branding, and other materials provided by CareHarbor360 (collectively, the "Platform Content"), are owned by or licensed to CareHarbor360 and are protected by applicable intellectual property laws.
Except for the limited rights expressly granted in these Terms, no ownership rights are transferred to users.
108. CAREHARBOR360 TRADEMARKS
The names CareHarbor360, its logos, slogans, trade dress, product names, service names, and other brand identifiers are the exclusive property of CareHarbor360 or its licensors.
Users may not:
copy;
modify;
reproduce;
imitate;
register;
distribute; or
otherwise use
CareHarbor360 trademarks without prior written authorization, except as permitted by applicable law.
109. LIMITED LICENSE TO USERS
Subject to compliance with these Terms, CareHarbor360 grants users a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended personal or internal business purposes.
This license does not permit users to:
copy substantial portions of the platform;
redistribute platform content;
create derivative works from protected platform content;
commercially exploit the Services except as expressly permitted;
sublicense access to the Services;
circumvent technical restrictions.
All rights not expressly granted are reserved by CareHarbor360.
110. USER CONTENT
Users retain ownership of intellectual property rights they lawfully hold in content they submit through the Services, including profile information, photographs, resumes, reviews, ratings, job postings, messages, and other materials ("User Content").
By submitting User Content, you represent and warrant that you have the necessary rights and permissions to do so.
111. LICENSE GRANTED TO CAREHARBOR360
By submitting User Content to the Services, you grant CareHarbor360 a non-exclusive, worldwide, royalty-free, sublicensable (only where reasonably necessary to operate the Services), transferable in connection with a lawful business transfer, license to:
host;
store;
reproduce;
display;
format;
index;
transmit;
distribute within the platform;
adapt for technical compatibility; and
otherwise process
your User Content solely for purposes of operating, maintaining, securing, improving, promoting, and providing the Services, in accordance with these Terms and the Privacy Policy.
This license ends when the content is deleted from the platform, except to the extent retention is required for legal compliance, backups, dispute resolution, fraud prevention, or other legitimate operational purposes.
112. PUBLIC CONTENT
Content intentionally made public by users, such as public profiles, ratings, reviews, or job listings, may be displayed to other users and, where applicable, to visitors to the platform.
Users remain responsible for deciding what information they choose to make publicly available.
113. USER REPRESENTATIONS
You represent and warrant that:
you own or have the necessary rights to submit User Content;
your User Content does not infringe another person's rights;
your User Content does not violate applicable law;
your User Content is not misleading or fraudulent.
You remain solely responsible for User Content that you submit.
114. FEEDBACK
CareHarbor360 welcomes suggestions, comments, ideas, and other feedback relating to the Services.
Unless otherwise agreed in writing, any feedback voluntarily submitted may be used by CareHarbor360 without obligation to provide compensation or attribution.
Nothing in this section transfers ownership of your independent inventions or confidential business information that was clearly identified as confidential when shared.
115. COPYRIGHT COMPLAINTS
If you believe that content available through the Services infringes your copyright or other intellectual property rights, you may submit a written complaint containing sufficient information to identify:
the allegedly infringed work;
the allegedly infringing material;
your contact information;
the basis for your claim; and
a statement made in good faith that you believe the use is unauthorized.
CareHarbor360 may investigate such complaints and take appropriate action, including removing or disabling access to content where warranted.
116. REPEAT INFRINGEMENT
CareHarbor360 reserves the right to suspend or terminate accounts that repeatedly infringe the intellectual property rights of others, subject to appropriate investigation and applicable law.
117. PLATFORM RESTRICTIONS
Users shall not, except as permitted by applicable law:
reverse engineer;
decompile;
disassemble;
attempt to derive source code;
circumvent technical protection measures;
scrape substantial portions of platform data using automated means without authorization;
interfere with platform security;
use the Services to develop a competing service through unauthorized copying of protected content or systems.
Nothing in this section restricts rights that cannot lawfully be limited, including any mandatory rights relating to interoperability or reverse engineering under applicable law.
118. OPEN-SOURCE SOFTWARE
The Services may incorporate software distributed under open-source licenses.
Such components remain governed by their applicable open-source license terms.
Nothing in these Terms overrides rights granted under those licenses.
119. RESERVATION OF RIGHTS
Except for the limited license expressly granted to users, CareHarbor360 and its licensors reserve all rights, title, and interests in and to the Services and Platform Content.
No implied license shall be interpreted from these Terms.
120. SURVIVAL
Sections concerning ownership, intellectual property, feedback, infringement, confidentiality (where applicable), and restrictions on use survive termination of these Terms to the extent necessary to protect the parties' respective rights.

121. AI FEATURES
CareHarbor360 may provide artificial intelligence ("AI") features to assist users in using the Services.
AI features may include, without limitation:
caregiver recommendations;
job recommendations;
profile optimization;
resume enhancement;
job description generation;
messaging assistance;
interview preparation tools;
search enhancements;
scheduling suggestions;
translation assistance;
document summarization;
platform navigation assistance;
customer support chat features; and
other AI-assisted functionality introduced from time to time.
AI features are intended to support users and do not replace independent human judgment.
122. PURPOSE OF AI
AI is designed to help users:
organize information;
identify potential matches;
improve efficiency;
generate drafts;
summarize content;
discover relevant opportunities; and
support informed decision-making.
AI is one tool within the Services and should be used together with a user's own evaluation and judgment.

compatibility;
availability; or
future performance.
Final selection decisions remain entirely with users.
126. GENERATED CONTENT
AI tools may assist users in generating:
resumes;
caregiver profiles;
job postings;
biographies;
messages;
summaries;
interview questions;
descriptions; and
similar materials.
Users remain solely responsible for reviewing, editing, approving, and submitting any AI-generated content.
Submission of AI-generated material constitutes the user's representation that the content has been reviewed and approved.
127. USER INPUTS
Users remain responsible for information they submit to AI features.
Users should avoid submitting:
passwords;
one-time passwords (OTPs);
payment credentials;
confidential information they are not authorized to disclose;
proprietary third-party information; or
other information whose disclosure would violate applicable law or contractual obligations.

AI features are intended to assist—not replace—human decision-making.
Users should independently evaluate information before making decisions relating to:

136. SURVIVAL
The provisions of this Chapter survive termination of these Terms to the extent necessary to govern the use of AI-generated content, ongoing dispute resolution, and compliance with applicable law.
Chapter 10
GENERAL LEGAL PROVISIONS
137. GOVERNING LAW
These Terms and any dispute arising out of or relating to the Services shall be governed by and construed in accordance with the laws of the Republic of India, without regard to conflict of law principles to the extent permitted by applicable law.
Nothing in these Terms limits any mandatory statutory rights that cannot lawfully be excluded.
138. DISPUTE RESOLUTION
CareHarbor360 encourages users to contact us first to resolve concerns informally before initiating formal legal proceedings.
If a dispute cannot be resolved informally, the parties may pursue any remedies available under applicable law.
Nothing in this section prevents either party from seeking urgent interim or injunctive relief where permitted by law.
139. JURISDICTION
Subject to applicable law and any agreed dispute resolution process, the courts having competent jurisdiction in Anantapur, Andhra Pradesh, India shall have jurisdiction over disputes arising from or relating to these Terms.
140. ELECTRONIC COMMUNICATIONS
By using the Services, users consent to receive communications electronically, including notices, updates, invoices, confirmations, security alerts, and other information relating to the Services.
Electronic communications may satisfy legal requirements that communications be in writing, where recognized by applicable law.
141. ELECTRONIC ACCEPTANCE
Users acknowledge that selecting an acceptance checkbox, clicking an "I Agree" button, creating an account, or otherwise using the Services may constitute electronic acceptance of these Terms where permitted by applicable law.
142. MODIFICATIONS TO THE TERMS
CareHarbor360 may revise these Terms from time to time to reflect changes in the Services, applicable law, security practices, or business operations.
Where required by applicable law, users will be notified of material changes through appropriate means, such as platform notifications or email.
Continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms, unless applicable law requires additional consent.
143. ASSIGNMENT
Users may not assign or transfer their rights or obligations under these Terms without CareHarbor360's prior written consent, except where applicable law provides otherwise.
CareHarbor360 may assign or transfer these Terms in connection with a merger, acquisition, corporate restructuring, sale of assets, financing transaction, or similar business event, provided that such transfer does not reduce users' mandatory legal rights.
144. RELATIONSHIP OF THE PARTIES
Nothing in these Terms creates a partnership, joint venture, agency, franchise, fiduciary relationship, or employment relationship between CareHarbor360 and any user.
Users act independently and are solely responsible for their own activities on the platform.
145. SEVERABILITY
If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court or other competent authority, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall continue in full force and effect.
146. NO WAIVER
Failure or delay by CareHarbor360 to enforce any provision of these Terms shall not constitute a waiver of that provision or any other right.
Any waiver must be in writing and signed by an authorized representative of CareHarbor360.
147. HEADINGS
Section titles and headings are included for convenience only and do not affect the interpretation of these Terms.
148. INTERPRETATION
Unless the context requires otherwise:
singular includes plural and vice versa;
references to one gender include all genders;
the words "including," "such as," and similar expressions mean "including without limitation";
references to statutes include amendments and successor legislation.
149. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy and any additional terms expressly incorporated by reference, constitute the entire agreement between the user and CareHarbor360 regarding the use of the Services and supersede prior understandings relating to the same subject matter.
Nothing in this section limits separate written agreements executed between CareHarbor360 and a user.
150. SURVIVING PROVISIONS
The following provisions survive suspension, termination, or expiration of these Terms to the extent necessary to give them effect:
payment obligations;
intellectual property rights;
licenses granted under these Terms;
confidentiality obligations;
limitation of liability;
indemnification;
dispute resolution;
governing law;
jurisdiction; and
any other provisions that by their nature are intended to survive.
151. LANGUAGE
These Terms are drafted in English.
If CareHarbor360 provides a translated version for convenience, the English version shall prevail to the extent permitted by applicable law in the event of any inconsistency.
152. NOTICES
Legal notices to CareHarbor360 should be sent to the contact details designated by CareHarbor360 for legal correspondence.
Users are responsible for maintaining accurate contact information within their account so that important notices can be delivered.

Questions regarding these Terms may be directed to CareHarbor360 through the contact information published on the platform.
Where required by applicable law, CareHarbor360 will identify appropriate contact details for legal notices and grievance handling.
154. NO THIRD-PARTY BENEFICIARIES
Except where expressly stated or required by applicable law, these Terms do not create rights in favor of any person or entity that is not a party to these Terms.
155. COMPLIANCE WITH APPLICABLE LAW
Nothing in these Terms requires a party to act in a manner that would violate applicable law.
If any provision conflicts with a mandatory legal requirement, the mandatory legal requirement shall prevail to the extent of the conflict.
156. EFFECTIVE DATE
These Terms become effective upon a user's acceptance through electronic means or upon first use of the Services, whichever occurs earlier, and remain in effect until terminated in accordance with these Terms.
