1. PURPOSE AND ACCEPTANCE

1.1 Purpose

This Caregiver Service Provider Agreement (“Agreement”) governs your access to and use of the CareHarbor360 platform when offering or providing caregiving services.

By creating a caregiver account, accepting this Agreement electronically, or using the platform to offer services, you agree to be bound by this Agreement, the CareHarbor360 Terms of Service, Privacy Policy, Trust & Safety Policy, Community Standards, Acceptable Use Policy, AI Transparency Policy, Identity Verification Policy, and any other applicable policies incorporated by reference.

1.2 Nature of the Platform

CareHarbor360 is a technology marketplace that facilitates introductions, communications, scheduling, and related services between caregivers and families or organizations seeking care.

Unless expressly agreed in writing, CareHarbor360 is not the employer of caregivers solely because they use the platform.

1.3 Amendments

CareHarbor360 may update this Agreement from time to time. Material changes will become effective after notice as required by applicable law. Continued use of the platform after the effective date constitutes acceptance of the revised Agreement.

2. DEFINITIONS

For purposes of this Agreement:

Account means your registered CareHarbor360 user account.

Care Recipient means the child, senior, adult, or other individual receiving caregiving services.

Caregiver means any individual offering caregiving services through the platform.

Client means the individual, family, guardian, organization, or agency requesting caregiving services.

Platform means the CareHarbor360 website, mobile applications, software, APIs, AI-powered tools, and related services.

Services means caregiving or related services offered by a Caregiver through the platform.

Verification means any identity, credential, or other verification process offered by CareHarbor360.

3. ELIGIBILITY

To register as a Caregiver you represent and warrant that:

  • you have the legal capacity to enter into this Agreement;
  • the information you provide is complete and accurate;
  • you will maintain only one account unless expressly authorized;
  • you will comply with applicable laws and regulations governing your services;
  • you will promptly update information that becomes inaccurate or outdated.

Where particular caregiving services require licenses, registrations, certifications, or permits under applicable law, you represent that you possess and will maintain those credentials.

4. REGISTRATION AND ACCOUNT REQUIREMENTS

4.1 Accurate Information

You agree that all registration information is truthful, complete, and current.

4.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account unless caused by unauthorized access not attributable to your actions or omissions.

You agree to notify CareHarbor360 promptly if you become aware of:

  • unauthorized access;
  • suspected account compromise;
  • identity theft; or
  • misuse of your account.

4.3 Profile Information

Your profile must accurately describe your:

  • qualifications;
  • work experience;
  • languages spoken;
  • availability;
  • certifications;
  • service offerings;
  • rates, where applicable; and
  • other professional information.

You must not create misleading profiles or exaggerate qualifications.

5. IDENTITY VERIFICATION

5.1 Verification

CareHarbor360 may request identity verification before or after account activation.

Verification methods may include government-issued identification, selfie or liveness checks, Aadhaar-based verification where legally permissible, or other lawful verification methods.

5.2 Verification Limitations

Verification confirms only that specified identity information has been verified at a particular point in time.

Verification does not certify:

  • character;
  • competence;
  • honesty;
  • caregiving ability;
  • future conduct; or
  • suitability for a particular engagement.

5.3 Cooperation

You agree to cooperate with reasonable verification requests and understand that refusal or inability to complete required verification may restrict access to some or all platform features.

6. PROFESSIONAL QUALIFICATIONS AND REPRESENTATIONS

You represent and warrant that:

  • your qualifications are accurately described;
  • any licenses or certifications presented are authentic;
  • your employment history is materially accurate;
  • references you provide are genuine to the best of your knowledge;
  • you possess the skills reasonably necessary for services you choose to offer.

If any credential expires, is suspended, revoked, or materially changes, you agree to update your profile promptly.

You must not falsely claim professional designations or affiliations.

7. CAREGIVER CERTIFICATIONS

By accepting this Agreement, you certify that:

☐ You understand that fraudulent information may result in suspension or permanent removal.

☐ You will comply with applicable laws.

☐ You will conduct yourself professionally.

☐ You understand that families rely on the accuracy of your profile.

☐ You understand that CareHarbor360 may investigate suspected policy violations.

These certifications are continuing obligations throughout your use of the platform.

8. PROFESSIONAL STANDARDS OF CARE

Caregivers are expected to provide services with professionalism, integrity, dignity, and respect.

You agree to:

  • communicate honestly and respectfully;
  • arrive punctually or provide reasonable notice of delays;
  • perform only services that you are qualified and willing to provide;
  • maintain appropriate professional boundaries;
  • treat care recipients with dignity and respect;
  • follow lawful instructions that are within the agreed scope of services;
  • maintain confidentiality regarding client information;
  • promptly disclose conflicts of interest that may materially affect the caregiving relationship; and
  • refrain from conduct that could reasonably endanger a care recipient.

You acknowledge that caregiving relationships rely upon trust and that professional conduct is essential to maintaining the integrity of the CareHarbor360 community.

Failure to meet these standards may result in educational guidance, warnings, suspension, termination, or other actions consistent with CareHarbor360 policies. # CAREHARBOR360 CAREGIVER SERVICE PROVIDER AGREEMENT

PART 2

Sections 9–16

9. CHILD PROTECTION STANDARDS

9.1 Commitment to Child Safety

CareHarbor360 is committed to promoting the safety, dignity, and well-being of children.

Caregivers providing childcare services agree to conduct themselves in a manner that prioritizes the physical, emotional, and developmental welfare of every child under their care.

9.2 Professional Expectations

Caregivers agree to:

  • provide age-appropriate supervision;
  • act in the child’s best interests while providing services;
  • communicate respectfully with both children and parents;
  • use appropriate language and behavior;
  • respect family rules that do not conflict with applicable law or child safety;
  • immediately report medical emergencies to the family or emergency services where appropriate;
  • maintain appropriate professional boundaries.

9.3 Prohibited Conduct

Caregivers must never:

  • physically abuse a child;
  • emotionally abuse a child;
  • sexually abuse or exploit a child;
  • neglect a child;
  • abandon a child;
  • threaten or intimidate a child;
  • engage in grooming behavior;
  • possess, create, request, distribute, or facilitate child sexual abuse material;
  • use unlawful punishment or coercion.

Any such conduct may result in immediate account suspension or permanent removal and may be referred to competent authorities where required or permitted by applicable law.

9.4 Reporting Concerns

Where required by applicable law, caregivers remain responsible for complying with mandatory reporting obligations.

Regardless of legal reporting requirements, caregivers are encouraged to notify CareHarbor360 of credible concerns involving child safety that arise through the platform.

10. PROTECTION OF VULNERABLE ADULTS

10.1 Commitment

CareHarbor360 is committed to supporting the dignity, independence, and safety of seniors and vulnerable adults.

10.2 Caregiver Responsibilities

Caregivers agree to:

  • respect the autonomy of care recipients;
  • maintain dignity and privacy;
  • provide services within their competence;
  • communicate honestly with families;
  • encourage safe practices;
  • report urgent medical concerns to the appropriate contact person or emergency services where appropriate.

10.3 Prohibited Conduct

Caregivers must never engage in:

  • physical abuse;
  • emotional abuse;
  • verbal abuse;
  • financial exploitation;
  • theft;
  • coercion;
  • intimidation;
  • unlawful restraint;
  • neglect;
  • abandonment;
  • exploitation of diminished capacity.

10.4 Financial Integrity

Caregivers must not:

  • pressure clients into changing wills;
  • request loans;
  • solicit gifts of substantial value;
  • misuse financial information;
  • access bank accounts without lawful authorization;
  • misuse powers of attorney or similar legal authority.

11. CONFIDENTIALITY

11.1 Confidential Information

During caregiving engagements, caregivers may receive confidential information relating to:

  • families;
  • children;
  • seniors;
  • medical conditions;
  • disabilities;
  • routines;
  • addresses;
  • emergency contacts;
  • schedules;
  • financial information;
  • household security.

11.2 Confidentiality Obligations

Caregivers agree to keep confidential information private except where:

  • disclosure is authorized by the client;
  • disclosure is required by law;
  • disclosure is necessary to prevent imminent harm;
  • disclosure is otherwise permitted under applicable law.

11.3 Photography and Recording

Unless expressly authorized or otherwise permitted by law, caregivers shall not:

  • photograph clients;
  • record conversations;
  • livestream within a client’s residence;
  • publish images or videos;
  • use client information for marketing.

11.4 Social Media

Caregivers shall not disclose identifiable client information on:

  • Facebook
  • Instagram
  • X
  • LinkedIn
  • YouTube
  • TikTok
  • WhatsApp groups
  • blogs
  • forums
  • or other online platforms

without appropriate authorization or other lawful basis.

12. PRIVACY AND DATA PROTECTION

12.1 Personal Information

Caregivers acknowledge that personal information obtained through CareHarbor360 may only be used for legitimate caregiving purposes related to the platform.

12.2 Prohibited Uses

Caregivers must not:

  • sell client information;
  • copy client databases;
  • harvest user information;
  • scrape platform data;
  • create unauthorized mailing lists;
  • disclose personal information without authorization.

12.3 Security

Caregivers are expected to take reasonable steps to safeguard confidential information in their possession.

Examples include:

  • protecting login credentials;
  • securing mobile devices;
  • avoiding public disclosure of confidential information;
  • reporting suspected data breaches involving platform information.

13. PLATFORM RULES

Caregivers agree not to:

  • create fake accounts;
  • impersonate another individual;
  • submit false credentials;
  • manipulate ratings;
  • purchase reviews;
  • post fraudulent availability;
  • discriminate unlawfully;
  • harass users;
  • threaten users;
  • spam users;
  • use automated bots without authorization;
  • interfere with platform operations;
  • upload malware;
  • attempt unauthorized access to systems;
  • misuse AI features;
  • circumvent platform safeguards.

13.1 Off-Platform Circumvention

Where permitted by applicable law and the Terms of Service, caregivers shall not intentionally use the platform solely to identify clients for the purpose of improperly circumventing applicable platform policies or contractual obligations.

Nothing in this section prevents users from exercising rights that cannot lawfully be restricted under applicable law.

14. AI-ASSISTED FEATURES

CareHarbor360 may offer AI-powered tools that assist caregivers with tasks such as:

  • profile suggestions;
  • resume improvements;
  • job recommendations;
  • scheduling assistance;
  • drafting messages;
  • translation assistance;
  • customer support.

14.1 AI is Assistance Only

Caregivers acknowledge that:

AI-generated content may contain errors.

AI should not replace professional judgment.

Users remain responsible for all information they submit or rely upon.

14.2 Responsible AI Use

Caregivers shall not use AI features to:

  • impersonate another individual;
  • create fraudulent qualifications;
  • generate deceptive communications;
  • manipulate reviews;
  • facilitate unlawful activity;
  • violate applicable law.

15. SERVICE LISTINGS

15.1 Accuracy

Service listings must accurately describe:

  • services offered;
  • qualifications;
  • availability;
  • pricing where applicable;
  • experience;
  • certifications.

15.2 Updates

Caregivers agree to promptly update listings when material information changes.

15.3 Misrepresentation

Caregivers shall not:

  • exaggerate qualifications;
  • advertise unavailable services;
  • falsely claim experience;
  • use misleading photographs;
  • misrepresent certifications.

16. SCHEDULING AND COMMUNICATIONS

16.1 Scheduling

Caregivers should make reasonable efforts to honor confirmed engagements.

If cancellation becomes necessary, caregivers should notify affected clients as soon as reasonably practicable.

16.2 Communications

Communications through CareHarbor360 should remain:

  • respectful;
  • professional;
  • truthful;
  • free from harassment;
  • free from unlawful discrimination;
  • free from abusive language.

16.3 Emergency Communications

Caregivers should use appropriate emergency contacts or local emergency services when immediate threats to life, health, or safety arise.

CareHarbor360 is not an emergency response service and should not be relied upon as the sole means of obtaining emergency assistance.

16.4 Record of Communications

To support platform integrity, improve services, investigate policy violations, resolve disputes, or comply with applicable law, CareHarbor360 may retain records of communications conducted through the platform in accordance with the Privacy Policy and applicable law.

Caregivers acknowledge that communications transmitted through platform features may be subject to review where reasonably necessary for these purposes. # CAREHARBOR360 CAREGIVER SERVICE PROVIDER AGREEMENT

PART 3

Sections 17–24

17. FEES, PAYMENTS, AND TAXES

17.1 Platform Fees

Use of certain CareHarbor360 features may be subject to platform fees, subscription fees, service fees, transaction fees, or other charges disclosed before they are incurred.

Applicable fees may change from time to time in accordance with the Terms of Service and applicable law.

17.2 Caregiver Pricing

Unless otherwise required by the platform or applicable law, caregivers are responsible for establishing accurate pricing for the services they offer.

Pricing information should be:

  • truthful;
  • current;
  • transparent; and
  • consistent with applicable laws.

Hidden fees or misleading pricing practices are prohibited.

17.3 Payments

Where CareHarbor360 facilitates payments, caregivers agree to comply with all applicable payment procedures, verification requirements, and payment terms.

Payment processing may be provided by one or more third-party payment service providers.

CareHarbor360 is not responsible for delays caused by financial institutions, payment processors, or events beyond its reasonable control.

17.4 Taxes

Caregivers are solely responsible for determining and complying with their own tax obligations arising from services provided through the platform, unless applicable law requires otherwise.

Nothing in this Agreement should be interpreted as tax advice.

17.5 Chargebacks and Payment Disputes

If a payment is disputed, reversed, or subject to a chargeback, CareHarbor360 may temporarily withhold or adjust payments while the matter is reviewed, where permitted by applicable law and the applicable payment terms.

18. INDEPENDENT PLATFORM RELATIONSHIP

18.1 Nature of Relationship

Unless expressly agreed otherwise in writing, CareHarbor360 provides technology services that facilitate connections between caregivers and clients.

CareHarbor360 is generally not:

  • the employer of caregivers;
  • the supervisor of caregiving services;
  • a staffing agency solely by virtue of operating the platform;
  • a party to agreements entered into directly between caregivers and clients.

18.2 No Employment Relationship

Nothing in this Agreement creates an employment, partnership, joint venture, agency, or fiduciary relationship between CareHarbor360 and the caregiver unless otherwise required by applicable law or expressly agreed in writing.

18.3 Caregiver Responsibilities

Caregivers remain responsible for:

  • complying with applicable laws;
  • obtaining required licenses or registrations;
  • maintaining professional qualifications;
  • fulfilling contractual obligations to clients;
  • maintaining appropriate insurance where applicable and available.

19. RATINGS AND REVIEWS

19.1 Purpose

Ratings and reviews help users make informed decisions and promote accountability within the CareHarbor360 community.

19.2 Honest Feedback

Users should provide reviews that are:

  • truthful;
  • respectful;
  • based on personal experience;
  • relevant to the caregiving engagement.

19.3 Prohibited Review Conduct

Caregivers shall not:

  • purchase reviews;
  • sell reviews;
  • exchange compensation for positive reviews without disclosure;
  • threaten users regarding reviews;
  • manipulate ratings;
  • submit reviews for themselves;
  • encourage fraudulent reviews.

19.4 Review Moderation

CareHarbor360 may remove or restrict reviews that violate platform policies, including reviews containing:

  • unlawful content;
  • personal attacks;
  • hate speech;
  • confidential information;
  • spam;
  • fraudulent statements;
  • content unrelated to the caregiving engagement.

Removal of a review does not necessarily indicate that the underlying events did or did not occur.

20. INTELLECTUAL PROPERTY

20.1 Platform Ownership

The CareHarbor360 platform, including its software, trademarks, logos, graphics, text, databases, AI systems, and related materials, are owned by CareHarbor360 or its licensors and are protected by applicable intellectual property laws.

Nothing in this Agreement transfers ownership of those rights to caregivers.

20.2 Limited License

Subject to this Agreement, CareHarbor360 grants caregivers a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely for its intended purposes.

20.3 User Content

Caregivers retain ownership of content they submit, such as profile information, photographs, and descriptions.

By submitting content to the platform, caregivers grant CareHarbor360 a worldwide, non-exclusive, royalty-free license to host, reproduce, display, distribute, modify as necessary for technical purposes, and otherwise use that content to operate, maintain, improve, and promote the Services, subject to the Privacy Policy and applicable law.

20.4 Feedback

If caregivers voluntarily provide suggestions, ideas, or feedback regarding the platform, CareHarbor360 may use that feedback without obligation or compensation unless otherwise agreed in writing.

21. TRUST AND SAFETY

21.1 Compliance

Caregivers agree to comply with all CareHarbor360 Trust & Safety requirements.

21.2 Reporting

Caregivers should promptly report:

  • suspected fraud;
  • abuse;
  • exploitation;
  • harassment;
  • safety concerns;
  • identity theft;
  • account compromise;
  • other serious policy violations.

21.3 Cooperation

Caregivers agree to cooperate reasonably with Trust & Safety investigations, including providing relevant information where requested, subject to applicable law.

21.4 Safety Measures

CareHarbor360 may implement reasonable measures intended to enhance platform safety, including verification procedures, fraud detection tools, account monitoring, educational resources, and other safeguards.

Such measures are designed to reduce risk but cannot eliminate all potential risks associated with interactions between users.

22. INVESTIGATIONS

22.1 Review of Reported Conduct

CareHarbor360 may investigate suspected violations of this Agreement or other platform policies.

Investigations may include review of:

  • account information;
  • communications conducted through the platform where permitted;
  • uploaded documents;
  • transaction history;
  • user reports;
  • other relevant information lawfully available.

22.2 Requests for Information

Caregivers agree to respond truthfully to reasonable requests for information relating to investigations.

Failure to cooperate may affect continued access to the platform where appropriate.

22.3 Fair Process

CareHarbor360 seeks to conduct investigations in a fair, consistent, and proportionate manner.

Not every report will result in enforcement action, and the platform may consider the available evidence, seriousness of the conduct, recurrence of violations, and applicable legal requirements.

23. SUSPENSION AND TERMINATION

23.1 Suspension

CareHarbor360 may suspend or restrict access to some or all platform features where reasonably necessary to:

  • protect users;
  • investigate suspected misconduct;
  • respond to security concerns;
  • comply with applicable law;
  • protect platform integrity.

23.2 Termination

Accounts may be terminated for reasons including, but not limited to:

  • repeated policy violations;
  • fraud;
  • identity misrepresentation;
  • child exploitation;
  • abuse of vulnerable adults;
  • serious harassment;
  • criminal misuse of the platform;
  • submission of fraudulent documentation;
  • other material breaches of this Agreement.

23.3 Effect of Termination

Upon termination:

  • access to the platform may cease;
  • future registration may be restricted;
  • certain information may be retained as permitted or required by law and the Privacy Policy;
  • provisions intended to survive termination shall remain in effect.

24. DISCLAIMERS

24.1 Platform Services

CareHarbor360 provides technology services that facilitate connections between users.

Except as required by applicable law, CareHarbor360 does not guarantee:

  • that every caregiver is suitable for every client;
  • that every client is suitable for every caregiver;
  • uninterrupted platform availability;
  • error-free operation;
  • successful caregiving matches;
  • specific financial outcomes;
  • continuous availability of any feature.

24.2 User Decisions

Users remain responsible for evaluating caregiving opportunities, selecting caregivers or clients, and making decisions based on their own judgment and circumstances.

24.3 Third-Party Services

CareHarbor360 is not responsible for the availability, accuracy, security, or performance of third-party products or services integrated with or linked from the platform, except to the extent required by applicable law.

24.4 No Professional Advice

Information provided through the platform, including AI-generated content, educational materials, or support resources, is intended for general informational purposes and does not constitute legal, medical, financial, tax, or other professional advice.

Users should seek advice from appropriately qualified professionals where necessary.

24.5 No Guarantee of Safety

While CareHarbor360 implements policies, verification processes, and trust and safety measures designed to promote a safer marketplace, no online platform can guarantee the conduct of individual users or eliminate all risks associated with caregiving engagements.

Users should continue to exercise reasonable care, independent judgment, and appropriate precautions when using the Services. # CAREHARBOR360 CAREGIVER SERVICE PROVIDER AGREEMENT

PART 4 (FINAL)

Sections 25–30 and Schedules A–F

25. LIMITATION OF LIABILITY

25.1 Scope

Nothing in this Agreement excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

Subject to applicable law, CareHarbor360’s liability shall be limited to the fullest extent permitted by law.

25.2 Platform Role

CareHarbor360 provides a technology platform designed to facilitate introductions and interactions between caregivers and clients.

CareHarbor360 does not supervise, direct, or control the day-to-day provision of caregiving services and is not responsible for the independent acts or omissions of users except as required by applicable law.

25.3 Indirect Damages

To the fullest extent permitted by applicable law, CareHarbor360 shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to:

  • loss of income;
  • loss of profits;
  • reputational harm;
  • business interruption;
  • emotional distress;
  • loss of opportunity;
  • loss of goodwill;
  • data loss,

except where liability cannot lawfully be excluded.

25.4 Maximum Liability

Where permitted by applicable law, CareHarbor360’s aggregate liability arising from or relating to this Agreement shall not exceed the greater of:

  • the total platform fees paid by the caregiver to CareHarbor360 during the twelve (12) months immediately preceding the event giving rise to the claim; or
  • the minimum amount required by applicable law, if greater.

This limitation does not apply where prohibited by law.

26. INDEMNIFICATION

You agree, to the extent permitted by applicable law, to indemnify and hold harmless CareHarbor360, its affiliates, directors, officers, employees, contractors, licensors, and agents from and against claims, liabilities, damages, losses, judgments, penalties, costs, and reasonable legal expenses arising out of or relating to:

  • your breach of this Agreement;
  • your violation of applicable law;
  • your negligent, reckless, or intentional misconduct;
  • infringement of another person’s intellectual property rights by content you submit;
  • bodily injury, property damage, or other harm resulting from your provision of services, except to the extent caused by CareHarbor360’s own negligence or willful misconduct.

CareHarbor360 will provide reasonable notice of any claim for which indemnification is sought and may participate in the defense of such claim.

27. GOVERNING LAW AND JURISDICTION

27.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Republic of India, without regard to conflict of law principles, except where mandatory local consumer protection laws apply.

27.2 Jurisdiction

Subject to the dispute resolution provisions below, courts of competent jurisdiction in the location specified in the CareHarbor360 Terms of Service shall have jurisdiction over disputes arising from this Agreement, unless otherwise required by applicable law.

27.3 Compliance with Law

Caregivers remain responsible for complying with all laws, regulations, licensing requirements, employment obligations, taxation requirements, and professional standards applicable to the services they provide.

28. DISPUTE RESOLUTION

28.1 Good Faith Resolution

Before initiating formal legal proceedings, the parties are encouraged to attempt to resolve disputes through good-faith discussions.

28.2 Platform Assistance

Where appropriate, CareHarbor360 may, but is not obligated to, provide communication tools or informal dispute resolution assistance between caregivers and clients.

Participation in any informal process does not waive legal rights unless expressly agreed.

28.3 Mediation

Where mutually agreed, disputes may be referred to mediation before litigation or arbitration.

28.4 Arbitration

If the CareHarbor360 Terms of Service include a valid arbitration provision, that provision shall apply to disputes arising under this Agreement to the extent permitted by applicable law.

28.5 Urgent Relief

Nothing in this Agreement prevents a party from seeking temporary or injunctive relief from a court where necessary to prevent imminent harm or protect legal rights.

29. ELECTRONIC ACCEPTANCE

29.1 Electronic Signatures

You agree that this Agreement may be accepted electronically.

Electronic acceptance has the same legal effect as a handwritten signature to the extent recognized under applicable law.

29.2 Acceptance Record

CareHarbor360 may maintain records of:

  • date accepted;
  • time accepted;
  • IP address;
  • device information;
  • browser information;
  • Agreement version;
  • consent confirmations;
  • other relevant audit information.

Such records may be used to demonstrate acceptance of this Agreement.

29.3 Continuing Acceptance

Continued use of the platform after updates become effective constitutes acceptance of revised versions of this Agreement where permitted by applicable law.

30. GENERAL PROVISIONS

30.1 Entire Agreement

This Agreement, together with all incorporated CareHarbor360 policies, constitutes the entire agreement between the parties regarding caregiver use of the platform.

30.2 Severability

If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall continue in full force and effect to the extent permitted by law.

30.3 No Waiver

Failure by CareHarbor360 to enforce any provision shall not constitute a waiver of that provision or any other rights.

30.4 Assignment

Caregivers may not assign this Agreement without CareHarbor360’s prior written consent, except where assignment rights cannot lawfully be restricted.

CareHarbor360 may assign this Agreement in connection with a merger, acquisition, corporate restructuring, or sale of assets.

30.5 Survival

The following provisions survive termination where applicable:

  • confidentiality;
  • intellectual property;
  • indemnification;
  • limitation of liability;
  • dispute resolution;
  • governing law;
  • payment obligations accrued before termination;
  • any provisions intended by their nature to survive.

30.6 Force Majeure

Neither party shall be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, governmental actions, widespread internet failures, pandemics, or other force majeure events, except where applicable law provides otherwise.

30.7 Language

This Agreement is drafted in English. Where translations are provided for convenience, the English version shall govern to the extent permitted by applicable law.

PROFESSIONAL CONDUCT CERTIFICATION

I certify that I will:

☐ Maintain professional boundaries.

☐ Communicate honestly.

☐ Respect confidentiality.

☐ Follow applicable laws.

☐ Avoid harassment or discrimination prohibited by law.

☐ Provide services only within my competence.

☐ Promptly update my qualifications if they change.

SCHEDULE C

CHILD PROTECTION ACKNOWLEDGEMENT

I acknowledge that:

☐ Child safety is my highest priority when providing childcare services.

☐ I will never engage in abuse, exploitation, neglect, grooming, or unlawful conduct involving children.

☐ I understand that violations may result in immediate account termination and referral to competent authorities where appropriate.

SCHEDULE D

VULNERABLE ADULT PROTECTION ACKNOWLEDGEMENT

I acknowledge that:

☐ I will respect the dignity and independence of seniors and vulnerable adults.

☐ I will not engage in abuse, neglect, exploitation, coercion, or financial misconduct.

☐ I understand that serious violations may result in permanent removal from the platform.

SCHEDULE E

CONFIDENTIALITY CERTIFICATION

I certify that I will:

☐ Protect confidential client information.

☐ Not disclose information except as authorized or required by law.

☐ Not publish photographs or videos without appropriate authorization or other lawful basis.

☐ Respect all privacy obligations described in this Agreement.
